In terms of regulation 5(4) of the Control of Concentrations Regulations, 2002 published in Legal Notice 294 of 2002, the Director General of the Office for Competition notifies for general information that a notification of a concentration between WPEF VIII Holdco 38 B.V. (Bussum, Netherlands) and Aditya BV (Merksem, Belgium) was filed on Monday, 2 June 2025.
The nature of the concentration is the acquisition of indirect sole control of Aditya BV by Waterland Private Equity Investments B.V. (“Waterland”), through its subsidiary WPEF VIII Holdco 38 B.V.
WPEF VIII Holdco 38 B.V. is indirectly controlled and managed by Waterland, an alternative investment fund manager that invests with funds from third parties (professional investors). Companies in Waterland’s portfolio are active in various sectors and are based in eleven European countries.
Aditya BV is a holding company and through its subsidiaries the International Food Services (“IFS”) Group provides maritime catering management services to shipping companies and operators of offshore vessels. The IFS Group offer two types of service models to its clients a food services model and a combi model. In the food services model, IFS manages the food supply and associated customized services, while in the combi model, IFS handles the management of the catering team in addition to the services provided under the food services model.
